Terms of Service

Note to readers of the repo: This is a starting draft, not final legal text. A qualified attorney must review and adjust before publication. Anthropic / the authors are not your lawyers. The text below is informed by the operating model of Token of Esteem and follows common SaaS commerce conventions, but it has not been litigated, jurisdictionally hardened, or insurance-reviewed. Treat it as a working draft that gets a lawyer's eyes before the public launch in
BUILDING.mdPhase 7.
1. Who we are and what this is
These Terms of Service ("Terms") are a binding agreement between you ("you," "your," "Buyer") and Token of Esteem, a service of Rocket Web Inc. ("Token of Esteem," "we," "us"). They govern your use of tokenofesteem.com, the Token of Esteem API and MCP server, and any custom booklets we produce on your behalf (collectively, the "Service").
By creating an account, placing an order through the website, authorizing an AI agent to place orders on your behalf, or otherwise using the Service, you accept these Terms.
If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. What we make
Token of Esteem produces 16-page personalized printed booklets. Each booklet is written for a single named recipient based on a structured brief you (or your authorized AI agent) submit. The text is generated by language models we license from third parties. The booklets are printed by a third-party print-on-demand provider and shipped directly to the recipient's address.
We make one booklet at a time, on commission. We do not sell pre-printed inventory.
3. Eligibility
You must be at least 18 years old to use the Service. You must provide a valid payment method and an accurate email address. You may not use the Service if you are barred from doing so under the laws of your jurisdiction.
The Service is currently available in the United States, Canada, the United Kingdom, the European Union, and Australia. Additional regions may be added or removed without prior notice.
4. Accounts and tokens
To use the Service, you create an account at tokenofesteem.com. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account, including activity by AI agents you authorize.
You may issue API tokens that grant AI agents the ability to place orders on your behalf. You are solely responsible for:
- Configuring spending caps and other guardrails on your account
- The actions of any agent operating with your tokens
- Revoking tokens promptly if you suspect compromise
We will charge your account for orders an agent submits using your tokens. Token compromise is not grounds for refund; configure your spending caps accordingly.
5. Submitting briefs
Every order requires a structured brief about the recipient. By submitting a brief, you represent and warrant that:
- The recipient is a real person to whom you wish to send a personal gift.
- You have a personal relationship with the recipient sufficient to justify sending them a personalized printed gift at their home address.
- You have the right to share the information contained in the brief.
- The brief complies with our Acceptable Use Policy.
- The recipient is at least 18 years old, or where the recipient is a minor, the brief contains only celebratory content and the gift is being arranged with the knowledge of the minor's parent or guardian.
You acknowledge that we may refuse to fulfill any order whose brief our content review systems determine to violate our policies. Refused orders are not charged or are refunded if charge has occurred.
6. How content is generated
The text of your booklet is generated by AI language models operating under locked instructions we have designed and reviewed. Two automated content review steps operate before any booklet is printed: one on the submitted brief, and one on the generated manuscript. In rare cases, a human operator employed by Token of Esteem may review held content before approval.
Content is generated specifically for your order and is not used to train AI models. Briefs and manuscripts are retained as described in our Privacy Policy.
7. Pricing and payment
The price per booklet is displayed at checkout. The price is all-inclusive: writing, printing, packaging, and shipping. Sales tax is collected where applicable.
Payment is processed by Stripe. By providing a payment method, you authorize us to charge it for orders you place or that your authorized agents place.
When you place an order, we authorize a charge on your payment method. We capture the charge only after our content review systems clear your order for printing. If your order is refused at any review step before capture, your payment method is not charged. If we refuse or fail to deliver an order after capture, we refund the full charge.
8. Spending caps and limits
You may configure per-order and per-month spending caps on your account. The Service enforces these caps and will refuse orders that exceed them.
Your default per-order cap is $25 USD. Your default monthly cap is $200 USD or none, as configured.
We may impose additional rate limits and order frequency caps at our discretion, particularly for new accounts.
9. Shipping and delivery
We ship to the address you (or your agent) provide in each order. Shipping addresses are verified at the time of order. We are not responsible for incorrect addresses you submit.
Estimated delivery times are estimates. They are not guarantees. Because each booklet is printed on demand and shipped via economy mail, most orders deliver within two to four weeks within the United States, and within three to six weeks internationally.
If a booklet is lost in transit, contact us within 30 days of the expected delivery date. We will reprint and reship at no additional charge if loss is confirmed by the carrier.
10. Content ownership and license
You retain ownership of the brief you submit.
We retain ownership of the manuscript and cover art generated for your order, the rendered PDF, and the typographic and structural design of the booklet. We grant you a perpetual, non-exclusive, worldwide license to keep and use the physical booklet you receive for personal, non-commercial purposes, including gifting it to the named recipient.
You may not:
- Resell, sublicense, or commercially distribute the booklet or its contents.
- Reproduce the booklet in whole or in part except for personal archival use.
- Use the booklet, its cover art, or its text in advertising, promotion, or any commercial setting.
We may use anonymized, aggregated data about Service usage for our own analytics, product development, and marketing. We do not use the contents of your briefs or manuscripts in marketing without your express consent.
11. Refunds and cancellations
You may cancel an order at any time before it enters the printing queue. Cancellations are processed automatically through your account dashboard or via the cancellation tool exposed by your authorized agent. Cancelled orders are refunded in full if charged, or have their authorization voided if not yet captured.
After an order enters the printing queue, it cannot be cancelled. Refunds for printed orders are available only in cases of:
- Carrier confirmed loss in transit
- Production defects (misprints, binding failures, damaged delivery)
- Our error in fulfillment (wrong recipient, wrong address used)
Refund requests must be submitted within 30 days of the order's delivery date or expected delivery date. Refunds are issued to the original payment method within 10 business days of approval.
Refunds are not available for content the buyer approved or for content produced according to a brief the buyer submitted, even if the recipient is unhappy with the booklet. We bear responsibility for content review; you bear responsibility for the choice of recipient and the substance of the brief.
12. Acceptable use
You agree to comply with our Acceptable Use Policy, which prohibits, among other things, submitting briefs that target people you do not have a relationship with, briefs that contain prohibited content categories, briefs that harass or harm any person, and any use of the Service for unlawful purposes.
We may suspend or terminate your account, refuse to fulfill orders, or take other enforcement action for any violation. Repeated violations are grounds for permanent termination without refund.
13. Disclaimers
The Service is provided on an "as is" and "as available" basis. We do not warrant that:
- The Service will be uninterrupted or error-free
- AI-generated content will meet any particular standard of quality
- Print fulfillment, shipping, or delivery times will be met in any specific case
- The recipient will appreciate the booklet
We disclaim, to the maximum extent permitted by law, all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of liability
To the maximum extent permitted by law, Token of Esteem's total cumulative liability arising from or related to these Terms or the Service, regardless of cause of action, will not exceed the total amount you paid us in the twelve months immediately preceding the claim, or one hundred dollars, whichever is greater.
We are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, or emotional distress, even if advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Token of Esteem, its officers, directors, employees, and contractors from any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising from:
- Your violation of these Terms or the Acceptable Use Policy
- Briefs you submit, including any claims by the named recipient or any third party
- Your use of the Service, including the actions of any AI agent operating under your account
- Any infringement of third-party rights by content you provide
We will notify you of any claim subject to indemnification and may, at your expense, participate in the defense.
16. AI agent authorization
If you authorize an AI agent to place orders on your behalf through the API, you accept that:
- Orders the agent submits are your orders, made on your authority
- You are responsible for the briefs the agent constructs
- Spending caps and account controls you configure are the principal means of limiting agent behavior
- You will not hold us responsible for orders the agent submits within the limits you configured
If an AI agent submits an order that violates our Acceptable Use Policy, the order will be refused, but the violation is attributed to your account.
17. Modifications
We may modify these Terms at any time. We will provide at least 30 days' notice of material changes by email to your account address and by posting an updated version at tokenofesteem.com/terms. Your continued use of the Service after the effective date of the changes constitutes acceptance.
If you do not accept the modified Terms, you may close your account before the effective date. Closing your account does not refund completed orders.
18. Termination
You may terminate your account at any time from your account dashboard. We retain account data per our Privacy Policy retention schedule after termination.
We may suspend or terminate your account at any time for violation of these Terms or for any reason permitted by law, including non-payment, suspected fraud, or extended inactivity. We will notify you of termination and provide an opportunity to retrieve any data you are entitled to, except where termination relates to a serious violation.
19. Governing law and dispute resolution
These Terms are governed by the laws of the State of Indiana, United States, without regard to its conflict-of-law principles.
Any dispute arising out of or related to these Terms or the Service will be resolved first through good-faith negotiation between the parties. If negotiation fails, the dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in Indianapolis, Indiana, or by video conference at the arbitrator's discretion.
You may opt out of arbitration within 30 days of accepting these Terms by emailing support@tokenofesteem.com with the subject "Arbitration opt-out" and your full name. After opting out, disputes are resolved in the state or federal courts of Marion County, Indiana, to which both parties consent to personal jurisdiction.
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent or stop infringement of intellectual property or violation of confidentiality obligations.
20. Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Token of Esteem regarding the Service.
Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
Waiver. Our failure to enforce any provision is not a waiver of that provision.
Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Notices. We will send notices to your account email address. You will send notices to support@tokenofesteem.com.
Force majeure. Neither party is liable for failure to perform due to causes beyond reasonable control, including natural disasters, network outages, or third-party service failures.
